the legal & compliance associate director provides legal and compliance advice in connection with the human health sales and marketing organization, as well as global support functions in mexico; this position provides limited support to the research & development division and the manufacturing division as required. Legal services include advising on and preparing documentation for corporate, commercial, labor, antitrust, regulatory, intellectual property issues, managing law firms, and coordinating with management, executive areas and regional and headquarters operating staffs critical to the business.
this position is based in mexico and does not include relocation support.
essential duties and responsibilities:
* interprets laws, policies and regulations for the company; advises on business transactions involving internal affairs, stockholders, directors, officers and corporate relations with the general public; assesses and manages legal risks of doing business in mexico.
* manages all legal documents and information necessary for proper administration of corporate matters of all entities in the territory, including books and records relating to corporate housekeeping; prepares quarterly and annual legal affairs reports required by company.
* assists and advises on the negotiation and drafting of major contracts and internal memos/opinions, ensuring compliance with legal and policy requirements and ethical business practice standards.
* analyzes legal and ethical aspects of judicial and extrajudicial claims, directs and coordinates lawsuits and administrative proceedings, including selection and monitoring of outside counsel.
* reviews and advises on the legal and ethical aspects of the company’s marketing plans and promotional materials as required.
* compliance responsibilities include advising on all company compliance policies and procedures, patient programs, promotional events, reviewing and advising on fcpa due diligences and risk mitigation, conducting tier 2 investigations and supporting tier 1 investigations as needed, participating in the country compliance committee, grants & donation committee and other compliance advisory boards.
* manages a paralegal who will report directly to this position.
requirements:
* graduated from a law school and licensed to practice law in mexico.
* at least six (6) years of legal practice as an attorney with a law firm or corporate legal department.
* experience in commercial, labor, antitrust, litigation and regulatory matters; experience in mexico.
* experience in health science and anti-kickback laws desirable.
* effective communications skills in english and spanish, both written and spoken.

key responsibilities:
* regulatory compliance: prepare documents related to regulatory compliance for issuers and the placement of securities, advising on registration of mexican and non-mexican issuers and offers in the mexican market.
* capital markets: manage and advise on capital markets transactions including ipos, debt offerings, structured securities and derivatives, and securitizations.
* alternative investments: handle processes for investments in alternatives (cerpis, fibras, ckds, fibras e), ensure compliance with pension fund and securities regulations, and address legal queries from related areas.
* legal compliance: ensure real estate investment and management activities comply with applicable laws and regulations.
* contract review and drafting: prepare, review, and negotiate contracts and related documentation for investment management activities.
* corporate governance: assist with governance matters for entities involved in real estate investments.
* foreign investment vehicles: work with external counsel to structure foreign investment vehicles.
* investment vehicle management: coordinate with external counsel on formation of investment management vehicles, including funds and joint ventures.
* property transactions: provide legal support for property acquisitions, dispositions, financing, and refinancing.
* license and permit management: monitor and administer property licenses and permits.
* incident management: oversee incident documentation and investigation with detailed records.
* risk management: identify and mitigate legal risks related to real estate investments and property management.
* code of ethics investigations: conduct investigations into breaches of the code of ethics and report findings.
* compliance training: develop and deliver compliance training programs for employees.
* entity management compliance: ensure entities are managed in compliance with regulations and maintain accurate records.
* claims and litigation coordination: manage claims, litigation, and dispute resolution related to real estate matters.
