responsibilities
* providing legal guidance ensuring that all company operations in mexico adhere to applicable laws, internal policies, and reporting obligations.
* providing support and legal guidance to the operations team during inspections, visits, or information requests from governmental or regulatory authorities, ensuring compliance with applicable procedures and mitigating potential legal risks.
* acting as the owner of all regulatory processes and ensuring full compliance by leading, coordinating, and supporting the internal areas involved in such processes.
* managing corporate governance requirements, including incorporations, shareholders’ and board meetings, corporate records, powers of attorney, and filings before relevant authorities.
* supporting the drafting, reviewing, negotiation, and administration of commercial and corporate contracts with financial institutions, clients, suppliers, and strategic partners.
* assisting the legal counsel mx in special corporate and regulatory projects, including corporate restructurings, expansions, new business developments, and transactional work.
* supporting the prevention and mitigation of regulatory and contractual contingencies, facilitating early identification of potential disputes, proposing corrective or preventive actions aligned with compliance frameworks and collaborating in the coordination of external counsel when necessary.
* support in monitoring legal risk matrix (contracts, permits, licenses, certifications, regulatory compliance, among others).
* performing other functions assigned by his/her immediate superior.
