As part of its expansion strategy and continuous growth in North America, COFICAB is seeking a highly skilled and experienced Regional Legal Counsel to oversee and manage the legal functions within the region. The ideal candidate will provide comprehensive legal guidance, ensuring compliance with regional laws and regulations, mitigating legal risks, and supporting business operations and strategic initiatives.
Position objective:
Under the responsibility of the Corporate Legal and the Regional Director, the Regional Legal Counsel, North America will play a pivotal role in safeguarding Coficab’s legal interests by providing expert advice across various legal domains, including corporate governance, labor law, regulatory compliance, contract negotiation, intellectual property, litigation, and risk management. This position requires a highly analytical and business-savvy legal professional who understands the nuances of the automotive and manufacturing industries. The selected candidate will work closely with the Corporate Legal & Compliance team, the Regional Director, and the Regional and plant executive leadership, business units, and external legal partners to enable business growth while ensuring strict adherence to legal and ethical standards.
To be successful as a Regional Legal Counsel, you should be able to analyze data and provide legal guidance that supports business goals and regulatory compliance across North America.
Responsibilities
Corporate Governance: performs company secretarial activities (shareholder and Board meeting minutes, POAs, etc.) and maintains accurate records of official company documents under the supervision of the Group’s VP Legal Affairs.
Mergers & Acquisitions (M&A;): conduct due diligence and risk assessments for potential acquisitions, mergers, and joint ventures; draft, negotiate, and review agreements; collaborate with internal and external stakeholders to ensure seamless execution of transactions.
Labor & Employment Law: provide guidance on employment-related issues, ensure compliance with regional labor laws and workplace safety regulations, and support HR teams in developing employee contracts, benefits programs, and dispute resolutions.
Real Estate & Construction: oversee legal matters related to real estate transactions, lease agreements, property acquisitions, and construction contracts.
Sales, Supply Chain & Distribution: draft and negotiate sales, supply chain, and distribution agreements; assess risks and mitigate disputes to ensure smooth operations.
Procurement & Contract Management: review, negotiate, and oversee procurement contracts; establish contract management procedures to track obligations and mitigate risks; collaborate with procurement teams to optimize terms.
Regulatory & Government Relations Compliance: monitor and ensure compliance with federal, state, and local regulations; develop and implement compliance programs, training, and policies; provide legal support on relations with regulatory bodies and reputational risk management.
Litigation & Claims Management: manage disputes, coordinate with external counsel as needed, and maintain records to analyze legal trends and prevent liabilities.
Insurance & Risk Management: evaluate legal risks, oversee insurance policies and claims, and assist in drafting risk management policies.
Strategic Legal Matters: advise on corporate governance, antitrust and competition law, IP protection, and support strategic business initiatives.
International Trade (IMMEX) & Tax Compliance: ensure compliance with import/export regulations and international agreements; support finance and tax teams on regulatory requirements and IMMEX operations.
