Overview
associate corporate and commercial counsel – location: mexico. Reports to: associate general counsel, corporate.

responsibilities
* support corporate governance matters, including subsidiary management and compliance with corporate policies. Assist in corporate secretary duties in mexico and other subsidiaries when required.
* assist in ensuring compliance with applicable laws and regulations in mexico and globally, including employment and labor matters, providing action plans for compliance, and recommendations to the people, finance, and it teams and other internal stakeholders.
* work cross-functionally with finance, hr, and compliance to support legal and business objectives.
* provide legal support for internal reorganizations and restructuring efforts, leading certain aspects when required, while primarily acting as a support function.
* assist in handling various corporate transactions, including m&a, equity investments, joint ventures, and strategic partnerships, ensuring legal risks are identified and mitigated.
* support legal matters for the company's subsidiaries in mexico and globally, aligning with corporate policies and local regulations and escalating critical decisions to senior leadership when needed.
* support management and protection of the company's trademark portfolio and intellectual property rights globally.
* collaborate with teams across finance, hr, and compliance, providing legal guidance without being the sole decision-maker.
* assist in development and implementation of corporate policies and procedures, ensuring legal accuracy and feasibility.
* provide legal assistance to the associate general counsel, corporate for investor communications and regulatory disclosures, ensuring compliance with applicable laws.
* support the company's compliance with personal data protection laws and regulations in mexico and globally, working with the corporate & compliance team.
* provide legal advice on employment matters based on mexico laws and regulations.
* liaise with external counsel as necessary, ensuring legal matters are properly managed and escalating final decisions when needed.
qualifications
* education: juris doctor (jd) or equivalent law degree from an accredited institution.
* experience: 1 to 4 years of relevant legal experience, preferably in-house or a mix of in-house and law firm roles.
* licensure: member in good standing of the mexico bar.
nice-to-have skills
* experience working in an international environment or with cross-border transactions.
* familiarity with data privacy laws.
* knowledge of employment law.
* experience in both law firm and in-house roles, preferably within the technology or software development industries.
